Terms of Service

These Terms govern the B2B wholesale partnership between DistribLabs and approved partner businesses. By activating a partner account, you agree to these Terms in full. These Terms apply only to business entities — DistribLabs does not provide services to end consumers.

1. Service Description

DistribLabs provides a B2B drop-ship fulfilment service to approved wholesale partners. The service includes access to a wholesale product catalog, order placement through the partner cabinet or via a dedicated manager, and direct-to-customer fulfilment from our EU warehouse.

We supply products from the following brands: Deus Medical, Androlex, Somatrop-Lab, Hilma Biocare, and Marten. All products are supplied for lawful commercial purposes only.

2. Partner Eligibility

Access to DistribLabs services is restricted to:

Business entities (sole traders, companies, or equivalent) engaged in lawful commercial activity
Partners who have completed the verification process and paid the entry deposit
Partners operating in jurisdictions where the resale of supplied products is lawful

DistribLabs reserves the right to decline, suspend, or terminate any partner account at its discretion, with or without stated reason.

3. Entry Deposit

Activation of a partner account requires a one-time entry deposit of €1,000 (or equivalent in cryptocurrency at the time of payment). This deposit:

Is credited in full to the partner's account balance — it is not a fee
May be used against any orders placed through the partner cabinet
Is non-refundable if the partnership is terminated due to a breach of these Terms
May be partially or fully refunded at DistribLabs' discretion in other circumstances

4. Orders and Fulfilment

Orders are placed through the partner cabinet or via the assigned partner manager on Telegram. By submitting an order, you confirm that:

The delivery address and recipient details are accurate and lawfully provided
The order is for a genuine end customer who has placed an order with you
You have complied with all applicable laws in your territory regarding the sale of the ordered products

Orders received before 12:00 CET are dispatched same day. All other orders are dispatched within 24 hours on business days. Dispatch times are targets, not guarantees.

5. Pricing and Payment

All invoices are payable in cryptocurrency (USDT TRC20, USDT ERC20, BTC, or ETH) at the exchange rate applicable at the time of invoice. Fiat currency payments are not accepted.

Wholesale pricing is available exclusively within the partner cabinet. Prices are subject to change with reasonable notice. Orders confirmed before a price change are fulfilled at the confirmed price.

6. Partner Responsibilities

As a DistribLabs partner, you are solely responsible for:

Compliance with all laws and regulations applicable to the resale of products in your territory
Your own customer relationships, sales terms, and customer service
Ensuring that your customers are eligible to purchase the products you sell them
Any taxes, duties, or levies arising from your business activity
The accuracy of all delivery addresses and order information you provide

DistribLabs supplies products to verified B2B partners only. Partners are solely responsible for ensuring their resale activity complies with applicable local regulations. DistribLabs accepts no liability for partners' regulatory compliance or customer relationships.

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding the terms of their partnership, wholesale pricing, and operational details. Partners must not disclose DistribLabs as their supplier to end customers or third parties without prior written consent.

DistribLabs will not disclose partner identities, business details, or order history to third parties except as required by law.

8. Shipping and Delivery

All orders are shipped from our EU warehouse in neutral outer packaging with no DistribLabs branding. Tracking information is provided after dispatch. DistribLabs is responsible for correct fulfilment of orders as submitted. Risk of loss passes to the partner upon handover to the carrier.

DistribLabs does not accept liability for carrier delays, customs issues, or delivery failures beyond our reasonable control. In the event of lost or damaged shipments, we will work with the partner to resolve the issue on a case-by-case basis.

9. Intellectual Property

All brand names, product names, and trademarks belong to their respective owners. DistribLabs grants partners no rights to use brand logos or trademarks beyond what is reasonably necessary to list and sell products to end customers.

10. Limitation of Liability

To the maximum extent permitted by applicable law, DistribLabs' total liability to any partner shall not exceed the value of the order(s) giving rise to the claim. DistribLabs is not liable for indirect, consequential, or lost profit damages of any kind.

11. Termination

Either party may terminate the partnership at any time by written notice via email or Telegram. Upon termination, any outstanding account balance (after deducting amounts owed for unfulfilled orders or breaches) will be returned in cryptocurrency within 30 days.

12. Governing Law

These Terms are governed by applicable EU law. Any disputes will be resolved through good-faith negotiation in the first instance. Where negotiation fails, disputes will be subject to the jurisdiction of the courts of the country in which DistribLabs is registered.

13. Changes to These Terms

We may update these Terms from time to time. Active partners will be notified of material changes via email or Telegram. Continued use of the service after notification constitutes acceptance of the updated Terms.
